‘Pride and Prejudice’: Unfair Prejudice & Minority Shareholders
Richard’s session explores the scope and operation of unfair prejudice petitions under Section 994 of the Companies Act 2006, examining how minority shareholders may seek relief when a Company’s affairs are conducted in a manner that is both unfair and prejudicial.
Topics covered include types of minority shareholder claim, the unfair prejudice test under s.994 CA, and examples of the basis upon which unfair prejudice petitions are brought. Richard also provided a case law update covering pleadings, causation, remedies, minority discounts, and the impact of post-exclusion conduct, including:
